Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and ViralDashboard (“we,” “us,” “our,” or the “Company”) governing your access to and use of the ViralDashboard platform, including all associated websites, applications, APIs, and services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

• “Account” means the user account you create to access the Service.
• “Content” means any text, images, videos, audio, data, or other materials uploaded, submitted, posted, or displayed through the Service.
• “Customer Data” means all data, content, and information submitted by you or on your behalf to the Service.
• “Subscription” means your selected plan and billing arrangement for the Service.
• “Team Member” means any individual you authorize to access the Service under your Account.
• “Third-Party Platform” means any social media network or third-party service you connect to or access through the Service.
• “AI Features” means any artificial intelligence or machine learning-powered functionality within the Service.

3. Account Registration

3.1 Eligibility

You must be at least 16 years of age (or the age of digital consent in your jurisdiction) to use the Service.

3.2 Account Creation

To use the Service, you must create an Account by providing accurate, current, and complete registration information. You agree to update this information to keep it accurate and current.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials, all activities that occur under your Account, and immediately notifying us of any unauthorized access or use.

3.4 Team Accounts

If your Subscription includes multiple seats, you may invite Team Members to your Account. You are responsible for the actions of all Team Members and for ensuring they comply with these Terms.

4. Subscriptions and Billing

4.1 Plans and Pricing

The Service is offered under various subscription plans as described on our pricing page. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your Account will be downgraded to a free tier or suspended unless you subscribe to a paid plan.

4.3 Billing

Monthly subscriptions are billed in advance on a recurring monthly basis. Annual subscriptions are billed in advance for the full year. All fees are quoted in U.S. dollars unless otherwise specified and are exclusive of applicable taxes.

4.4 Refunds

Refunds are governed by our Refund Policy. We offer a 14-day money-back guarantee for new subscriptions.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference.

Prohibited activities include violating any applicable law, sending spam, uploading malware, attempting unauthorized access, reverse engineering the Service, harassment, impersonation, scraping, and using AI Features to generate illegal or harmful content.

6. Intellectual Property

The Service, including its design, architecture, source code, documentation, trademarks, logos, and all related intellectual property, is owned by ViralDashboard. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your Subscription.

If you provide suggestions, ideas, or feedback (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service.

7. User Content

You retain all rights, title, and interest in your Customer Data and Content. We do not claim ownership of any content you upload, create, or manage through the Service. Content generated using our AI Features is provided as a tool to assist you. You are responsible for reviewing, editing, and approving all AI-generated content before publishing.

8. Third-Party Platforms and Integrations

The Service allows you to connect Third-Party Platforms (e.g., Meta/Facebook, Instagram, X/Twitter, LinkedIn, TikTok, Pinterest, YouTube). By connecting these accounts, you authorize us to access and interact with these platforms on your behalf. We are not affiliated with, endorsed by, or sponsored by any Third-Party Platform unless explicitly stated.

9. API Usage

We may provide an API to enable you to integrate with the Service. API access is subject to these Terms, rate limits as specified in our API Documentation, and additional API-specific guidelines.

10. Service Level Agreement (SLA)

We commit to maintaining 99.9% uptime for the Service, measured on a monthly basis. If we fail to meet this commitment, you may request service credits as outlined in the SLA terms. The SLA applies to Business and Enterprise plans.

11. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless ViralDashboard from and against any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the Service, your Content, your violation of these Terms or any applicable law, or any activity under your Account.

13. Termination

You may cancel your Subscription at any time through your Account settings. We may suspend or terminate your Account with 30 days' notice, or immediately if you materially breach these Terms. Upon termination, you may export your Customer Data for up to 30 days.

14. Dispute Resolution

Before filing any formal dispute, you agree to first contact us at legal@viraldashboard.com to attempt informal resolution. If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association in the State of Delaware.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

16. Modifications to Terms

We may modify these Terms at any time. Material changes will become effective 30 days after notice. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

17. General Provisions

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, Data Processing Agreement, and Refund Policy, constitute the entire agreement between you and ViralDashboard. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
